These Terms of Service ("Terms") govern your access to and use of Tegore, an educational software product focused on Algebra I and II, and any related websites, mobile apps, content, features, and services (collectively, the "Services") provided by Odapt Inc. ("Odapt," "we," "us," or "our"), a Delaware corporation.
By clicking "I Agree," creating an account, or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
Arbitration & class waiver. These Terms include binding arbitration and a class action waiver. See Section 17.
1) Eligibility
- You must be at least 13 years old to create an account for personal (non-school) use.
- Users 13–17 may use the Services only with a parent/guardian's consent.
- Users under 13 may use the Services only if (a) a parent/guardian creates and manages the account and provides verifiable parental consent, or (b) a school or district contracts with Odapt and designates the student for use under school consent (Section 12).
- You represent that you (and, if applicable, your student) will comply with applicable laws and these Terms.
We do not knowingly collect personal information from children under 13 without verifiable parental consent or school authorization consistent with COPPA.
2) Accounts and Registration
Provide accurate information and keep it current. You're responsible for all activity on your account and for safeguarding credentials. Don't share your password or let others use your account.
3) Educational Use; Not Professional Advice
The Services provide educational content and AI-generated explanations aimed at Algebra I/II learning. Information may be incomplete or contain errors. The Services are not a substitute for a human teacher, licensed tutor, or professional advice.
4) Acceptable Use
You agree not to:
- copy, scrape, or distribute content except as allowed;
- reverse engineer or interfere with security;
- upload malware or disrupt the Services;
- harass, bully, or impersonate others; or
- use the Services for commercial solicitation or to build a competing product.
We may suspend or terminate accounts for violations (Section 13).
5) User Content; Feedback
You retain ownership of content you submit (e.g., answers, messages, recordings, transcripts) ("User Content"). You grant Odapt a worldwide, non-exclusive, royalty-free license to host, process, display, and use User Content to operate, secure, and improve the Services.
If you submit feedback/suggestions, you grant Odapt a perpetual, irrevocable, royalty-free license to use them without restriction.
6) Intellectual Property
The Services (software, curriculum, text, graphics, videos, trademarks) are owned by Odapt or its licensors and protected by law. We grant you a limited, non-transferable, revocable license to use the Services for personal, non-commercial educational use, subject to these Terms.
7) AI, Voice, and Accuracy
The Services may capture voice/audio and generate AI outputs (explanations, hints, solutions). Outputs can be inaccurate or inappropriate in context. You're responsible for reviewing outputs and verifying correctness.
By using interactive voice features, you consent to the capture, transmission, storage, and processing of audio and transcripts to provide the Services, maintain safety/security, and improve functionality as described in our Privacy Policy (including choices/controls there).
8) Payments, Subscriptions, and Trials
a) Plans.
We offer monthly and annual subscriptions. Prices and features are shown at checkout or on our pricing page.
b) Free trial.
New subscribers may receive a 7-day free trial. Unless you cancel before the trial ends, your plan auto-converts to a paid subscription and your payment method is charged. One trial per person/account/payment method; we may limit abuse.
c) Auto-renewal & cancellation.
Subscriptions renew automatically for the same term unless canceled before the renewal date. You can cancel in account settings; cancellation stops future charges.
d) Refunds.
Fees are non-refundable after the trial converts, except where required by law or stated otherwise in a specific offer. We don't provide prorated refunds for partial periods.
e) Billing & taxes.
You authorize Odapt and our processor (e.g., Stripe) to charge your payment method for recurring fees and applicable taxes. Keep your payment info current.
9) Third-Party Services
We may link to or integrate third-party services (e.g., communications platforms, payment processors). Their terms and privacy policies apply. We aren't responsible for third-party services.
10) Mobile and Data Charges
You're responsible for any carrier and data charges incurred while using the Services.
11) DMCA; Copyright Complaints
We respond to notices under the Digital Millennium Copyright Act (17 U.S.C. § 512). Send notices to founders@odapt.ai with: (i) identification of the copyrighted work; (ii) identification of the material claimed to be infringing; (iii) your contact info; (iv) a good-faith statement; (v) a statement under penalty of perjury; and (vi) your signature. We may terminate repeat infringers.
12) School or District Use (FERPA/COPPA)
When a school or district ("School") contracts with Odapt and designates students:
- The School determines the purpose/means of processing "education records" and remains responsible for parental notices/consents under FERPA and COPPA school consent.
- Odapt acts as a school official with legitimate educational interest, using student data only to provide the Services and for legal/safety/security needs.
- Odapt will delete or return student personal information upon written School request, subject to lawful retention obligations. Details are in our Privacy Policy / School Data Addendum.
13) Suspension and Termination
We may suspend or terminate access immediately for violations of these Terms, risks to users, fraud, non-payment, or legal/regulatory reasons. You may stop using the Services at any time and cancel as described in Section 8.
14) Changes to the Services and to these Terms
We may modify the Services and these Terms. If we make material changes, we'll notify you (e.g., in-app notice or email). Changes take effect when posted or as stated in the notice. Continued use after changes means you accept the updated Terms.
15) Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, ODAPT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT CONTENT WILL BE ACCURATE OR RELIABLE.
16) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ODAPT AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REVENUE, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNTS YOU PAID TO ODAPT FOR THE SERVICES IN THAT PERIOD.
Some jurisdictions don't allow certain limits; the above applies to the fullest extent permitted.
17) Dispute Resolution; Arbitration; Class Action Waiver
Informal resolution.
Before filing a claim, email founders@odapt.ai and try to resolve within 30 days.
Binding arbitration.
Any dispute arising out of or relating to these Terms or the Services will be resolved by binding, individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Seat/venue: San Francisco County, California; language: English. The Federal Arbitration Act governs this section.
Class waiver.
You and Odapt waive any right to class, consolidated, or representative actions. Only individual claims may be brought.
Opt-out.
You may opt out of arbitration within 30 days of first accepting these Terms by emailing founders@odapt.ai with subject "Arbitration Opt-Out," your name, and the account email. If you opt out, you agree to the exclusive jurisdiction of the state/federal courts in San Francisco County, California.
Time to file.
Any claim must be filed within one (1) year after it accrues.
18) Indemnification
You agree to defend, indemnify, and hold harmless Odapt and its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your User Content, or your violation of these Terms or law.
19) Export; Sanctions
You may not use, export, or re-export the Services except as authorized by U.S. law and the laws of your jurisdiction. You represent you're not located in a country or on a list where use is prohibited by U.S. sanctions or export controls.
20) Miscellaneous
- Governing law. These Terms are governed by Delaware law, except the arbitration clause (FAA). Court venue for non-arbitrable claims: San Francisco County, California.
- Assignment. You may not assign these Terms; Odapt may assign them.
- Severability. If a provision is unenforceable, the rest remains in effect.
- No waiver. Failure to enforce isn't a waiver.
- Entire agreement. These Terms and the Privacy Policy are the entire agreement.
- Notices. We may provide notices via email, in-app messages, or posting.
